| Mr. Bales has over 35 years of varied corporate, mergers and acquisitions experience, both as the General Counsel of a public company and in private practice. He has extensive experience advising company’s and their boards of directors on corporate governance issues, organizational, general corporate and contract matters. His corporate representation corporate representation has included matters such as stock and asset sales and acquisitions, employment agreements, and licensing agreements. He has dealt extensively with the full range of legal needs for a business of any size, including business start-up and formation issues, financing agreements, contract drafting and negotiation, vendor agreements, risk management and allocation, acquisition of businesses and assets, liquidations, regulatory compliance issues, preparation of government filings. Companies represented by Mr. Bales cover a wide range of businesses. He has been involved in the selection of the proper entity for a new enterprise and the appropriate organization and structuring of the entity. He has experience in the formation and structuring of corporations, limited liability companies, limited partnerships, joint ventures, strategic partnerships and other forms of entity.
In the real estate area, Mr. Bales has represented owners, developers, lenders, and investors in all facets of complex commercial real estate transactions. Mr. Bales’ clients range from individual and private businesses to Fortune 500 companies, institutional lenders and equity funds. Transactions range from the development, leasing, sale and acquisition of all types of commercial properties, including office, industrial, shopping centers, apartments, condominiums, and mixed-use projects, to loan workouts, restructures and foreclosures. |
